I’m the founder of a people, talent, and recruiting advisory business supporting early-stage and growth startups. I’m looking for an experienced business attorney to draft legally sound, founder-protective agreements that I can reuse as my business scales.
This work will include both client-facing contracts and internal NDAs for contractors and employees. My top priority is ensuring the agreements clearly protect my interests while remaining practical and reasonable.
Scope of Work:
• Draft a comprehensive Client Services Agreement tailored to a consulting and recruiting advisory business
• Draft a reusable Non-Disclosure Agreement (NDA) for:
• Executive Assistants
• Contractors
• Future hires (W-2 and 1099)
• Ensure strong protections around:
• Scope of services and change management
• Payment terms, retainers, placement fees, and late fees
• Termination and notice periods
• Limitation of liability and indemnification
• Intellectual property ownership and work product
• Confidentiality, data protection, and handling of sensitive client information
• Non-solicitation and non-circumvention (where appropriate)
• Dispute resolution and governing law
• Align language with common startup and VC-backed company expectations
• Deliver clean, reusable templates that can scale with the business
Ideal Background:
• Licensed attorney with experience in:
• Startup, small business, or professional services law
• Consulting, recruiting, or advisory agreements (strong plus)
• Contractor and employment-related NDAs
• Familiar with LLCs and S-corps
• Practical, business-minded approach (clear, not overly academic)
• Comfortable explaining tradeoffs and highlighting risk areas
